Terms of Service
Effective Date: April 19, 2026
1. Parties
These Terms of Service are between Niyogi and Son, Inc., doing business as Speed and Co. ("we," "us," or "our") and the nonprofit organization that accesses the Service ("Customer"). By using the Service, Customer agrees to be bound by these Terms.
2. Service Description
Speed is an AI-powered compliance-readiness platform that helps nonprofits track deadlines, generate draft documents (board minutes, funder reports, policy updates, 990-prep narratives), and maintain a centralized compliance calendar. The Service provides drafts and suggestions only; it does not file tax returns, offer legal advice, or replace a qualified accountant or attorney.
3. Fees and Payment
All fees are set forth in the applicable Order Form or Pricing Schedule incorporated by reference into these Terms. Fees are non-refundable except as required by law, and late payment may result in suspension of access.
4. Account and Subscription
Customers must provide accurate, current information during registration. Accounts are non-transferable. We may suspend or terminate accounts for breach of these Terms, non-payment, or illegal activity. Upon termination, Customer may export its data within a reasonable period; after that, data may be deleted per our data-retention policy.
5. Customer Responsibilities
Customer is solely responsible for reviewing, editing, and approving any output generated by Speed before using it for official filings, board actions, or funder submissions. Customer must ensure its use of the Service complies with all applicable federal, state, and local laws. Customer shall not use the Service to generate content that is defamatory, infringes intellectual property, violates privacy rights, or facilitates illegal conduct.
6. AI Disclaimer and Limitation of Liability
The Service provides drafts and suggestions only; output is not guaranteed to be accurate, complete, or compliant with any specific legal or accounting requirement. Speed does not warrant that the Service will prevent audits, penalties, loss of tax-exempt status, or funder penalties.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NIYOGI AND SON, INC., ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER IN THE TWELVE MONTHS PRECEDING THE CLAIM.
7. Intellectual Property
Customer retains all right, title, and interest in its own data and any content it uploads. Niyogi and Son, Inc. retains all right, title, and interest in the Service, underlying technology, and AI models. Customer grants us a worldwide, royalty-free license to host, store, and display its content solely to provide the Service.
8. Data Privacy and Security
We will process personal data only as necessary to provide the Service. We employ industry-standard technical and organizational measures to protect Customer data. Customer acknowledges that no transmission over the internet or storage system is 100% secure.
9. Indemnification
Customer agrees to indemnify, defend, and hold harmless Niyogi and Son, Inc. from any claim arising out of: (a) Customer's breach of these Terms; (b) reliance on AI-generated output without appropriate review; (c) violation of any law or third-party right in connection with Customer's use of the Service.
10. Termination
Either party may terminate these Terms upon thirty days written notice. We may terminate immediately for material breach, non-payment, or illegal use. Fees for the current billing period are not refundable.
11. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania. Any dispute shall be resolved by binding arbitration in Northampton County, Pennsylvania, under the rules of the American Arbitration Association. Both parties waive the right to a jury trial or class action.
12. Changes
We may revise these Terms from time to time with notice via email or within the Service. Continued use constitutes acceptance.
